Terms of Service

1. Introduction
These Terms of Service (“Terms”) govern your access to and use of the RidePass website, products, and services (collectively, the “Service”).
By accessing or using RidePass as a passenger or driver, you agree to be bound by these Terms. If you do not agree, please do not use the Service.
“RidePass”, “we”, “us” and “our” refer to the RidePass service operated by RidePass.
“You” refers to passengers, drivers, or visitors using the Service.
2. What RidePass Is (and Is Not)
RidePass is a platform that connects commuters (“Passengers”) with independent private-hire drivers (“Drivers”) for recurring, subscription-based commute routes.
RidePass does not own or operate vehicles and does not provide transportation services itself.
Transportation is provided solely by independent Drivers. Drivers are not employees or agents of RidePass. Drivers act as independent contractors.
3. Eligibility
To use the Service you must:
- Be at least 18 years old (or the age of majority in your jurisdiction).
- For Drivers: hold a valid driving licence, all required PHV / vocational licenses, and insurance required by law.
By using the Service, you represent that you meet these requirements.
4. Passenger Subscriptions
4.1 Subscription Model
RidePass operates as a month-to-month subscription for weekday commute routes.
When you sign up for a route, you are purchasing a recurring subscription for that route (the “Pass”).
4.2 Auto-Renewal
Subscriptions automatically renew monthly unless cancelled before the renewal date.
By subscribing, you authorise RidePass to charge your selected payment method at each renewal.
4.3 Cancellation
You may cancel your subscription at any time, but:
- Cancellations must be received at least two (2) weeks before the next renewal date to avoid being charged for the following month.
- After the billing period begins, fees are generally non-refundable, except where required by law or explicitly stated otherwise.
4.4 Pricing & Changes
Pricing, routes, and availability may vary by area and over time.
We may change subscription prices or route details. We’ll give reasonable notice where required, and changes will usually apply from the next billing cycle.
5. Service Availability & Limitations
Service availability is subject to driver availability, route viability, safety considerations, and operational constraints.
Although we aim for reliability, routes, schedules, and specific drivers cannot be guaranteed at all times.
We may suspend or modify routes due to events such as traffic disruptions, road closures, extreme weather, driver illness, or other operational issues.
When disruptions occur, we will use reasonable efforts to:
- Arrange a backup driver, alternative route, or
- Notify you of cancellations or changes as soon as reasonably practical.
6. Passenger Responsibilities & Conduct
As a Passenger, you agree to:
- Be ready at the agreed pickup point at the agreed time.
- Treat Drivers and other Passengers with respect, and not engage in abusive, unsafe, or illegal behaviour.
- Use seatbelts and follow applicable road safety rules.
- Not vandalise, damage, or soil the vehicle beyond normal wear and tear.
- Comply with any reasonable instructions from the Driver related to safety.
We may suspend or terminate your access to the Service if:
- You engage in harassment, abuse, or unsafe behaviour.
- You repeatedly miss scheduled pickups or violate these Terms.
7. Driver Participation & Responsibilities
These provisions apply to Drivers using the Service.
7.1 Independent Contractor Relationship
As a Driver, you act as an independent contractor, not an employee, agent, or representative of RidePass.
Nothing in these Terms creates an employment relationship, partnership, or joint venture between you and RidePass.
7.2 Vehicle & Insurance
You are solely responsible for:
- Providing, maintaining, and operating a roadworthy, properly insured vehicle that complies with all applicable laws and regulations.
- Holding and maintaining:
- A valid driving licence,
- Any required private-hire / vocational licences,
- All insurance required by law and by any platforms you use.
7.3 Commitments to Routes
RidePass may offer you recurring routes (e.g. weekday morning commutes).
You may accept or decline any offered route.
If you accept a route:
- You agree to reliably service that route at the agreed times and locations for the duration of the commitment period (e.g. monthly).
- You agree to provide reasonable notice if you are unavailable, so that a backup driver can be arranged.
7.4 Other Platforms & Work
RidePass does not require exclusive engagement.
Outside of the routes and times you have accepted via RidePass, you are free to:
- Accept jobs from other platforms (e.g. PHV / ride-hailing)
- Conduct other work, subject to your own contractual obligations and the law.
7.5 Behaviour & Safety
As a Driver, you agree to:
- Drive safely, obey traffic laws, and not drive under the influence of drugs or alcohol.
- Treat Passengers with respect and maintain professional conduct.
- Keep your vehicle reasonably clean and comfortable.
- Not discriminate against Passengers based on race, religion, gender, disability, or other protected characteristics.
RidePass may suspend or remove Drivers from the platform for violations of these standards, unsafe behaviour, or repeated cancellations.
8. Payments
8.1 Passenger Payments
Subscription and other fees are displayed at checkout or in your account.
Payments are processed by third-party payment processors. You authorise us and our processors to charge your selected payment method.
8.2 Driver Payments
Driver compensation, payout schedules, and any incentives will be communicated separately (e.g. via onboarding materials or driver dashboard).
RidePass may deduct platform fees, adjustments, or other charges as agreed.
9. Disclaimers
To the fullest extent permitted by law:
The Service is provided “as is” and “as available” without warranties of any kind, express or implied.
RidePass does not guarantee:
- That any specific route, Driver, or schedule will always be available.
- The actions or omissions of any Driver or Passenger.
You use the Service at your own risk.
10. Limitation of Liability
To the extent allowed by law:
RidePass is not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.
For any claims relating to the Service, our total liability to you will not exceed the amount you paid to RidePass in the three (3) months preceding the event giving rise to the claim.
11. Indemnity
You agree to indemnify and hold harmless RidePass and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including legal fees) arising out of:
- Your use of the Service,
- Your breach of these Terms,
- For Drivers: your provision of transportation services, including any accidents, violations, or claims related to your vehicle or conduct.
12. Privacy
Our collection and use of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you also agree to our Privacy Policy.
13. Changes to the Service and Terms
We may modify or discontinue parts of the Service from time to time.
We may update these Terms. When we do, we will update the “Last updated” date and, where appropriate, provide additional notice (for example, by email or a notice on the website).
Continued use of the Service after changes become effective means you accept the updated Terms.

These Terms are governed by the laws of Singapore.
